Reloadly API License and Terms

Reloadly may, in its sole discretion, grant a Client access to the Reloadly API. These Reloadly API LICENSE AND TERMS (the “ API Terms”) supplement the Corporate Client Service Terms of Service Agreement between the entity on whose behalf a Reloadly Account is created and Reloadly (the “ Agreement”) and govern the Client’s access to and use of the Reloadly API. Please read these API Terms carefully, as they form a legally binding agreement between Client and Reloadly. We may update these API Terms from time to time, by posting an updated version of the API Terms here as further described in Section 10.c below. The “Last Updated” legend at the top of this page indicates when these API Terms were last revised. Any changes to these API Terms will become effective upon the earlier of: (a) your first use of the Reloadly API with actual notice of such changes, or (b) 30 days after we post or distribute the revised API Terms, and such changes will apply to your use of the Reloadly API after the effective date of the revised API Terms. If you do not wish to accept the new API Terms, you must stop using the Reloadly API.
In the event of a conflict or inconsistency between these API Terms and the Agreement, these API Terms will control to the extent necessary to resolve any such conflict or inconsistency. All capitalized terms used but not defined herein have the meaning ascribed to them in the Agreement. Reloadly and the Client, each a “ Party” and, together, the “ Parties.”
1. USE OF THE Reloadly API
- Access to the Reloadly API. In Reloadly’ sole discretion, Client may be granted API Credentials to access the Reloadly API. Client must keep its API Credentials secure and may not share the API Credentials with any third party. Client will not access the Reloadly API by any means other than the API Credentials. API Credentials are the exclusive property of Reloadly.
- Application. The software application, website, interface, or any other means Client uses to access the Reloadly API using the API Credentials is referred to herein as Client’s “ Application”.
- API License. Reloadly grants to Client a worldwide, non-exclusive, royalty-free, non-transferable, non-sublicensable, revocable and limited license to use and make calls to the Reloadly API solely in connection with interoperating or integrating with the Service, and solely in the manner described in the technical documentation contained in the Reloadly API and this Agreement.
- API Restrictions. When using the Reloadly API, Client will (and will ensure Authorized Users will):
- only use the Reloadly API to engage with the Services;
- restrict disclosure of the API Credentials, or any part thereof, to Client’s agents, employees, or service providers;
- not distribute, sell, lease, rent, lend, transfer, assign, permit use of or sublicense any rights granted herein to a third party;
- not use or access the Reloadly API or the Service to monitor the availability, performance, or functionality;
- not remove or destroy any copyright notices;
- not engage in any activity that interferes with, disrupts, harms, or accesses in an unauthorized manner the servers, networks, data, applications or other properties of Reloadly or any third party;
- not circumvent technological measures intended to prevent unauthorized access;
- not modify or create derivative works of the Reloadly API;
- not bypass Reloadly API restrictions for any reason;
- not access or use the Reloadly API to develop or distribute unlawful material;
- not attempt to tamper, hack, modify or otherwise corrupt the security or functionality of the Reloadly API or Services.
- API Limits. Reloadly may set and enforce limits on Client’s use of the Reloadly API at its discretion. Client will comply with such limits. If Client wants to exceed these limits, they must obtain Reloadly’s express written consent.
- Open Source Software. Some software required by the Reloadly API may be licensed under an open source software license, and use of those components is governed by the terms of that license.
- Feedback. Any feedback provided by Client regarding the Reloadly API is considered non-proprietary and is the property of Reloadly.
2. CHANGES TO THE Reloadly API
- Updates. Reloadly reserves the right to require Client to install or update software to continue using the Reloadly API. Client acknowledges that updates may affect how the Reloadly API works with Client’s Application.
- Access and Use. Reloadly may change or discontinue the availability of the Reloadly API at any time for any reason.
- Beta Services. Reloadly may invite Client to use pre-release features on a trial basis. Such services may be subject to additional terms.
3. PROPRIETARY RIGHTS
- Reloadly Property shall remain the sole and exclusive property of Reloadly. Client does not acquire rights in the Reloadly APIs or the content accessed through them.
4. SECURITY
- Reloadly may monitor the usage of the Reloadly API for quality and compliance. Client’s Application must meet security standards to protect information received from Reloadly.
5. AUDIT
Client must provide proof of compliance with these API Terms if requested.
6. DISCLAIMER OF WARRANTIES
The Services and Reloadly API are provided on an “as-is” and “as available” basis with no warranties.
7. LIMITATION OF LIABILITY
Reloadly shall have no liability for any direct, indirect, incidental, special, or consequential damages. In any event, Reloadly’ liability is limited to USD$100.
8. CONFIDENTIALITY
The Reloadly API and all API Credentials are deemed to be Reloadly’s Confidential Information.
9. TERMINATION
- Termination. Reloadly may terminate Client’s access to the Reloadly API at any time.
- Effect of Termination. Upon termination, each Party shall return or destroy the property of the other Party.
10. GENERAL TERMS
- Independent Contractors. The Parties are independent contractors.
- Non-Exclusivity. Nothing in these API Terms creates an exclusive arrangement.
- Notice. Notices may be provided by email or through postings on the Site.
- Term. These API Terms apply until Reloadly terminates Client’s access.
- No Waiver. Failure to enforce rights does not constitute a waiver of rights.
- Entire Agreement. These API Terms supersede any prior agreements.
- Assignment. Reloadly may assign these API Terms without notice.
- Governing Law. The API Terms will be governed by Florida law.
- Competitive or Similar Materials. Reloadly is not precluded from discussing and developing competitive materials.
- Survival. Provisions that extend beyond termination will survive termination.
